1. Overview of the Platform & Safe Harbor

MiniMart is a software-as-a-service (SaaS) technology provider. We provide independent merchants ("Merchants") with technical tools to build digital storefronts, manage products, organize orders, and connect with third-party logistics couriers.

2. Merchant Accounts & Security

• Eligibility: You must be at least 18 years old or represent a legally recognized business entity to register a Merchant store account.
• Account Integrity: You agree to provide accurate, current, and complete store information during registration and keep your profile updated.
• Credential Safeguarding: You are solely responsible for maintaining the confidentiality of your credentials, password, and two-factor authentication (2FA) codes. You must notify us immediately of any unauthorized access.

3. Merchant Responsibilities & Acceptable Use

As a store owner on MiniMart, you explicitly agree that you shall NOT use the platform to:

• Sell prohibited, illicit, counterfeit, hazardous, or stolen goods or services violating applicable domestic and international laws.
• Infringe upon the copyrights, trademarks, or proprietary rights of any third party.
• Engage in deceptive commerce, phishing, fraudulent promotions, or unlawful Ponzi/pyramid schemes.
• Distribute viruses, malware, bots, or any code intended to disrupt platform stability or security.

MiniMart reserves the right to suspend or terminate any store found in violation of these acceptable use policies without prior notice.

4. Orders, Fulfillment & Customer Relations

Merchants have sole discretion and responsibility regarding their store operations:

• Order Status Pipeline: Orders transition through standard fulfillment stages (1. New, 2. Confirmed, 3. Processing, 4. Dispatched, 5. Delivered). Merchants are responsible for updating order statuses truthfully.
• Pricing & Stock: Merchants are solely responsible for pricing accuracy, applicable taxes, shipping fees, and inventory counts.
• Returns & Refunds: Each store is responsible for publishing its own return, refund, and warranty policies and addressing customer inquiries directly.
• Cash On Delivery (COD) Risk Shield: While MiniMart provides automated fraud detection and verification tools to help reduce fake orders, MiniMart does not guarantee 100% order acceptance by end recipients or courier performance.

5. Third-Party Courier & Service Integrations

MiniMart provides direct software integrations with independent logistics carriers (such as Prompt Xpress, Domex, and Fardar Express). Courier rates, delivery timelines, parcel insurance, and actual courier operations are governed directly by your contracts and arrangements with the respective logistics providers. MiniMart is not liable for courier delays, damaged parcels, or transit disputes.

6. Subscription Fees & Billing

MiniMart offers both free starter tiers and paid subscription plans.

• Subscription Fees: Paid plans are billed in advance on a recurring monthly or annual basis.
• Modifications: We reserve the right to revise subscription fees with reasonable advance notice to merchants.
• Cancellation: You may cancel or downgrade your subscription at any time via your Store Settings billing panel.

7. Intellectual Property

Your Content: You retain full copyright and ownership of all logos, graphics, product images, descriptions, and media you upload to your store. By uploading content, you grant MiniMart a worldwide, non-exclusive license to host, format, and display such content solely to provide platform services.

MiniMart IP: All platform code, software architecture, UI designs, trademarks, and documentation are the exclusive property of MiniMart Technologies and protected by intellectual property laws.

8. Disclaimer of Warranties & Limitation of Liability

THE MINIMART SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINIMART TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE OR STORE OPERATIONS.

9. Changes to Terms

We may periodically revise these Terms to reflect technological improvements, legal requirements, or platform updates. We will notify merchants of material revisions via the administrative dashboard or email. Continued use of the platform following updates constitutes acceptance of the modified Terms.
